Terms & Conditions
These Terms and Conditions constitute a legally binding agreement between you and CoupleCal Inc. Please read them carefully before using our Service.
1. Definitions and Interpretation
In these Terms and Conditions ("Terms"), the following definitions apply:
- "Service" means the CoupleCal mobile application (iOS and Android), website at couplecal.com, and all related services, APIs, and features
- "Company," "we," "us," "our" means CoupleCal Inc., a Delaware corporation with its registered office at 548 Market Street, Suite 300, San Francisco, CA 94104, United States
- "User," "you," "your" means any natural person who accesses or uses the Service
- "Content" means any data, text, images, audio, or other materials uploaded, submitted, or generated through the Service
- "Subscription" means a paid plan providing access to premium features of the Service
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental terms. If you do not agree, you may not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
3. Eligibility
- You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
- You must have the legal capacity to form a binding contract
- You must not be prohibited from using the Service under the laws of your jurisdiction
- You must not have been previously suspended or removed from the Service for violation of these Terms
For EU/EEA users: Where you are a consumer within the meaning of Directive 2011/83/EU, your statutory consumer rights remain unaffected by these Terms.
4. Account Registration and Security
- You must provide accurate, current, and complete information during registration and keep it updated
- You are responsible for maintaining the confidentiality and security of your account credentials
- You must notify us immediately at security@couplecal.com upon discovering any unauthorized use of your account
- You are responsible for all activities that occur under your account, whether or not authorized by you
- Each natural person may maintain only one account. Duplicate accounts may be merged or terminated
- We reserve the right to refuse registration or cancel accounts at our discretion, subject to applicable law
5. Subscriptions, Billing, and Payments
5.1 Free Tier
CoupleCal offers a free tier with limited features as described on the Pricing page. The free tier may be modified, reduced in scope, or discontinued with at least 30 days' written notice.
5.2 Paid Subscriptions
- Paid plans (Plus and Premium) are available on a monthly or annual billing cycle
- All prices are quoted in US Dollars and are exclusive of applicable taxes, levies, and duties unless stated otherwise
- Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date
- We reserve the right to change pricing with at least 30 days' advance notice. Price changes apply only at the next renewal and do not affect the current billing period
5.3 Free Trials
Paid plans include a 14-day free trial. No payment information is required to start a trial. If you do not subscribe before the trial ends, you will be automatically moved to the free tier with no charge. We will send a reminder notification before your trial expires.
5.4 Payment Processing
Payments are processed through secure third-party payment processors (Stripe, Apple App Store, Google Play Store). We do not store your full credit card or payment details. All transactions are encrypted and PCI DSS compliant. For subscriptions purchased through the Apple App Store or Google Play Store, billing is managed by the respective platform and subject to their terms.
5.5 Taxes
You are responsible for any applicable sales tax, VAT, GST, or other taxes imposed by your jurisdiction. Where we are legally required to collect and remit taxes, the applicable amount will be added to your invoice.
6. Consumer Rights (EU/EEA/UK)
If you are a consumer in the European Union, European Economic Area, or the United Kingdom, you benefit from mandatory consumer protection provisions under Directive 2011/83/EU (Consumer Rights Directive) and local implementing legislation:
- Right of Withdrawal: You have the right to withdraw from a paid subscription within 14 days of purchase without giving any reason. To exercise this right, send a clear statement to billing@couplecal.com. We will reimburse all payments within 14 days of receiving your withdrawal notice using the same payment method
- Conformity: The digital content supplied must conform to the contract. If the Service does not conform, you are entitled to remedies including repair, replacement, price reduction, or termination of the contract, in accordance with Directive (EU) 2019/770
- Unfair Terms: Nothing in these Terms affects your statutory rights as a consumer, and any provision that would be considered unfair under Directive 93/13/EEC shall be severed without affecting the remaining Terms
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or that infringes on third-party intellectual property rights
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service
- Interfere with, disrupt, or impose unreasonable burden on the Service or its underlying infrastructure
- Create accounts using automated means (bots, scripts, crawlers)
- Use the Service to send spam, unsolicited communications, or phishing attempts
- Share your account credentials with third parties or allow unauthorized access
- Circumvent or attempt to circumvent any access restrictions, usage limits, or security measures
- Use the Service in a manner that could damage, disable, or impair the Service for other users
Violation of this section may result in immediate suspension or termination of your account.
8. Intellectual Property
8.1 Our Intellectual Property
The CoupleCal name, logo, visual design, underlying code, algorithms, and all related trademarks, trade dress, copyrights, and intellectual property are the exclusive property of CoupleCal Inc. and are protected by US and international intellectual property laws including the Berne Convention, TRIPS Agreement, and the WIPO Copyright Treaty. All rights not expressly granted in these Terms are reserved.
8.2 Your Content
You retain full ownership of all Content you create within CoupleCal. By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and transmit your Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your Content or close your account. We will not use your Content for marketing, advertising, or training AI models without your explicit written consent.
8.3 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, worldwide license to use the Feedback for any purpose without compensation or attribution. Do not submit Feedback if you do not wish to grant this license.
9. Device Permissions and Access
Certain features of CoupleCal require access to device capabilities. By using these features, you consent to the app requesting the necessary permissions:
- Camera and Photo Library: Required for the Image-to-Calendar feature (scanning schedules and event flyers) and uploading profile photos. Images captured or selected are processed for event extraction and are not used for any other purpose
- Microphone and Speech Recognition: Required for the Voice Assistant feature, which allows hands-free event and task creation. Audio is processed in real-time and is not recorded or stored on our servers
- Push Notifications: Used to deliver event reminders, task alerts, and family updates. You can manage notification preferences in Settings or disable them entirely through your device settings
- Internet Access: Required for all cloud-syncing functionality, including calendar synchronization, family sharing, and account management
You may revoke any permission at any time through your device's system settings. Revoking a permission may limit or disable the associated feature but will not affect the core functionality of the Service. For details on what data these permissions enable us to access, see our Privacy Policy, Section 3.4.
10. Third-Party Integrations
CoupleCal integrates with third-party services including Google Calendar, Firebase, and AI processing APIs. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the availability, accuracy, completeness, or practices of third-party services. Third-party integrations may be modified, suspended, or discontinued by the third party at any time, and we shall not be liable for any resulting impact on the Service.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
For EU/EEA consumers: This disclaimer does not affect your statutory rights under Directive (EU) 2019/770 (Digital Content Directive) or Directive 1999/44/EC (Consumer Sales Directive) as implemented in your member state.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CoupleCal Inc. shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of data, profits, goodwill, business opportunity, or revenue, arising from or in connection with your use of the Service
- Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the 12 months preceding the event giving rise to the claim, or (b) $100 USD
- Nothing in these Terms excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, (iii) any liability which cannot be excluded or limited under applicable law
For EU/EEA consumers: Statutory liability under the laws of your country of residence shall apply where mandatory. This limitation clause shall not restrict your rights under applicable consumer protection legislation.
13. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless CoupleCal Inc. and its officers, directors, employees, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your Content.
Note: This indemnification clause does not apply to consumers in jurisdictions where consumer protection laws prohibit such clauses (e.g., certain EU member states).
14. Termination
- Termination by You: You may close your account at any time via Settings > Account > Delete Account or by emailing hello@couplecal.com
- Termination by Us: We may suspend or terminate your account immediately for material breach of these Terms, illegal activity, or upon reasonable suspicion of fraudulent conduct. For non-material breaches, we will provide at least 14 days' written notice and an opportunity to cure before termination
- Effect of Termination: Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, and 15) shall survive
- Data After Termination: See our Privacy Policy and Cancellation Policy for details on data retention and deletion after account closure
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles, except where mandatory provisions of the law of your habitual residence provide otherwise.
For EU/EEA consumers: You benefit from the mandatory consumer protection provisions of the law of your country of habitual residence. Nothing in these Terms deprives you of that protection. Any dispute may be brought before the courts of your country of habitual residence.
15.2 Informal Resolution
Before filing a formal claim, both parties agree to attempt good-faith informal resolution by contacting legal@couplecal.com. We will try to resolve any dispute within 60 days.
15.3 Arbitration (US Users)
For users in the United States: If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in San Francisco County, California, or at your election, by telephone or videoconference. Class action waiver: You and CoupleCal agree that disputes will be resolved on an individual basis; class, collective, or representative actions are not permitted.
Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction. Small claims (under $10,000) may be brought in small claims court.
15.4 Jurisdiction (Non-US Users)
For users outside the United States who are not bound by the arbitration clause above, disputes shall be submitted to the exclusive jurisdiction of the courts of San Francisco County, California, except where mandatory consumer protection laws grant you the right to bring claims in the courts of your habitual residence.
15.5 EU Online Dispute Resolution
If you are a consumer in the EU, you may use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr to resolve disputes.
16. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and Cancellation Policy, constitute the entire agreement between you and CoupleCal regarding the Service
- Severability: If any provision is found to be unenforceable or invalid, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full effect
- Waiver: Failure to enforce any right or provision shall not constitute a waiver of that right or provision
- Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction, provided the assignee agrees to honor these Terms
- Force Majeure: Neither party shall be liable for delays or failures resulting from events beyond reasonable control, including natural disasters, pandemics, war, government actions, or infrastructure failures
- Notices: We may provide notices via email, in-app notifications, or posting on the Service. Notices to us should be sent to legal@couplecal.com
- Language: These Terms are drafted in English. In the event of a conflict between the English version and any translation, the English version shall prevail, except where prohibited by local law
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or in-app notification at least 30 days in advance. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you disagree with a material change, you may terminate your account before the effective date.
